Given that there are no performance targets attached, shareholders may que= stion the alignment with their own interests. As structured, significant payments could be made for underpeforming competitors. Altho= ugh, shareholder approval was not formally required for the plan (since it is n= ot considered long term and no performance targets are attached), in the spirit of best practice we would have expected it to.&#= 13;

¢ We contacted the company aga= in to clarify one aspect: the life of this quasi-instrument. This is = significant as this instrument has characterist= ics which are essentially option-like and the longer it is allowed to run the more valuable it is.

¢ We are now informed that the instrument crystallises at the point where the individual leaves the <= /span>company. This makes sense in that this gives it= some retention value. However, it can still be run indefinitely prior to this so the awards ar= e in essence of options with more than a 10 year life which of course is contrary to a key ABI guidel= ine. In addition, there appears to be a clear service condition attached to the receipt of the award which, on the face of it, ought to put it within the scope of long term incentive schemes requiring shareholder approval under the Listing Rules.
